B.COMPETITION RULES

If you wish to participate in the Livable Cities Award by submitting your "Livable City Idea" then the following rules ("Rules") shall be applicable on your entry to the competition:

Participants may enter the Award via digital entry, by filling out the entry form at www.philips.com/because or www.cnn.com/livablecities.
The Award is free to enter and open: (a) to participants over 18 years of age; (b) to individuals, community groups and organizations of any type or size (public or private).
Participants must fill in the idea submission form on the Web Site. By providing us with your Personal Data you give consent for the use of such data in accordance with the Privacy Notice. Please refer to our Privacy Notice for more information about your rights and the way we use your Personal Data.
Three winning entries will be picked by a jury appointed by Philips out of the total number of entries submitted in any country worldwide. The supervisory committee will consist of 5 members (chaired by Richard Florida, independent specialist of the award categories and one Philips representative that will judge on the basis of ideas and concepts that demonstrate a simple solution to improve people's health and well-being in cities in three categories: well-being outdoors, independent living, healthy lifestyle at work and home.
The public will be given the opportunity to vote on entries short listed by the supervisory committee. The supervisory committee will take this public vote into consideration, but holds the rights to the ultimate decision.
Ideas must be original to and owned by you, and not previously proposed, developed or implemented, either in whole or part, by anyone else. Ideas must be implementable within a maximum of two years. It's the responsibility of the participants to ensure that their idea does not infringe on anyone else's intellectual property rights.
Any intellectual property rights associated with the idea will remain vested in the participant who submitted the idea.
Only those entries submitted and received in good order by Philips before 28 October 2010 at 5pm Central European Time shall be deemed valid and shall be taken into consideration. Submissions, which are incomplete, illegible, lost or damaged, shall not be taken into consideration. Philips accepts no liability whatsoever for any problems or any deficiency concerning computers, connections or networks used in submitting an entry through the Web Site. One overall winning idea from any of the three categories will receive a grant of EUR 75,000 net. Two additional ideas from the remaining categories will receive grants of EUR 25,000 net each within twelve (12) weeks after the Award is closed. It is mandatory that the grant is spent on implementation of the award proposal. The grant-winners shall be contacted by using the registration data provided with their entry in order to notify them of their winning the grant. The winners will be invited to an Award Ceremony which will take place in the Netherlands in April 2011 (place and exact date TBD). After the winners are contacted, they will have to develop a project plan with the supervisory committee, with clear deliverables and timeframes. It is mandatory that the grant is spent on the implementation of the award proposal. If participants are unable to meet the agreements with the supervisory committee then Philips reserves the right to redistribute the money to next best idea.
There may be some tax implications for grant winners. Participants should review their Application with their legal/tax advisor to determine their potential tax liability, if any, in connection with receiving a grant as part of this grant Program. If there is any tax liability, Philips shall pay the tax to assure that the net grant remains EUR 75,000 and 25,000.
Employees of Philips or associated companies and members of their families are not eligible to win the Award.
Prizes shall be awarded at Philips' sole discretion, after consultation of the Supervisory Committee. There shall be no correspondence concerning the awarding of prizes. The prize shall be accepted "as is" by a winning participant.
Any entry made giving another person's (or a false) name will be disqualified and will thus not be taken into account.
Failure to comply with any of these Rules will disqualify a participant from taking part in the Competition.
The participant agrees that Philips shall be allowed - in its sole discretion - to use the prizewinners' name and/or image for promotional or advertising purposes freely and at no charge. However, Philips shall not be obliged to make any such use of names and/or images.
We are receiving your submission with the understanding that you have the legal right to disclose the idea to Philips and are not otherwise prohibited by contract or law from disclosing the idea to Philips.
By submitting your idea to Philips you agree that Philips does not have any obligation to keep your submission confidential.
If any provision of these Rules is found to be invalid by any court having competent jurisdiction the invalidity of such provision shall not affect the validity of the remaining provisions of these Rules, which shall remain in full force and effect.
C.PRIVACY NOTICE

1.Information we collect

1.1When you register online to participate in the Award your share your personal information such as your name, e-mail address and your place of living, with Philips. All such information provided by you shall hereafter be referred to as "Personal Data". Philips collects, stores and uses such Personal Data in accordance with the following Privacy Notice and all applicable laws.

1.2We use your Personal Data to communicate with you about our Website and to provide you with updates about the Award. We may also use your Personal Data for our internal purposes such as administration related to the Award and to comply with our legal obligations.

1.3You can always indicate if you want to stop receiving emails from Philips or if you wish to change your personal data or receive more information about the personal data we store about you, you can let us know via the contact form, which you find in Section E.

2.How do we protect your Personal Data

Your Personal Data will be collected and treated in strict confidence and kept secure according to "best practices" such as firewall and user access control. Access to your Personal Data will be restricted to a limited number of administrators.

3.Storing of Personal Data

Once you have provided us with your Personal Data your Personal Data shall be stored until the winners of the Award have been selected and publically announced. Thereafter your Personal Data shall be deleted.

4.Personal Data we share

4.1We do not sell, rent or license your Personal Data to third parties. However, please be informed that we may share your Personal Data with affiliated companies of Philips or service providers of Philips, for example to support Philips in hosting the Website. We require affiliated companies of Philips and service providers (like the hosting party) to protect your Personal Data adequately. They are not allowed to use your Personal Data for any purpose not specifically authorized by you.

4.2You should know that the affiliated companies of Philips and service providers may be located around the world, therefore by submitting your registration form and by ticking the "I accept" tickbox at the time of registration, you agree that your Personal Data may be transferred from your home country to affiliated companies of Philips or service providers located around the world.

4.3We are not responsible for any Personal Data you choose to share on the internet since any Personal Data you share on the internet can be read, collected or used by other individuals in ways we are unable to control or predict, such as to send you unsolicited emails.

5.Personal Data collected by automated means

5.1We collect certain information by automated means when you visit the Website, such as how many users visited the Website and the pages accessed. By collecting this information, we learn how to best tailor our website to our visitors. We collect this information through various means such as "cookies", "google analytics" and "IP addresses" as explained below.
